End User Licence Agreement: Remote Practice Midwives

1 This is a single copy software licence (the 'Licence') granted by Solutions Plus Limited ('Solutions Plus'). Downloading the Maternity Plus software (the 'Product') indicates your agreement with the following terms, as well as the Solutions Plus Terms of Business and the Software Maintenance Agreement (together, the 'Agreement').

2 Grant of Licence:

2.1 This Licence permits you to use one copy of the Product on any single computer on the condition that you are, and remain, a fully paid up member of the Midwife and Maternity Provider Organisation ('MMPO') for as long as you use the Product.

2.2 You may not make the Product available to any person other than your employees without prior written consent of Solutions Plus.

2.3 You may make a single additional copy of the Product, solely for back up purposes.

2.4 A unique licence key is provided to download this Product. The licence key must not be disclosed, through any means of communication, including but not limited to internet newsgroups and web pages, to any person who is not permitted under this agreement to use the Product.

3 Intellectual Property:

3.1 The Product is owned by Solutions Plus and is protected by New Zealand copyright law and international treaty provisions.

3.2 You may not make any changes or modifications to the Product, and you may not decompile, disassemble, or otherwise reverse engineer the Product.

3.3 You may not alter, remove or tamper with any trade mark, any patent or copyright notices, or any confidentiality, proprietary or trade secret, or any other means of identification used on or in relation to the software.

4 Limitation of Liability:

4.1 Solutions Plus will provide services and products which as far as is reasonably practical meet the terms of reference, specifications and standards agreed between Solutions Plus and the MMPO.

4.2 Solutions Plus does not warrant that the products or service supplied will be error or fault free.

4.3 Solutions Plus undertakes to remedy any faults or defects of the Product under the terms of the Software Maintenance contract between Solutions Plus and the MMPO.

4.4 Solutions Plus is not liable for any loss of revenues, profits or data, indirect, special incidental or consequential costs or losses.

4.5 Solutions Plus does not warrant that the functions contained in the Product will meet your requirements or that the operation of the Product will be uninterrupted or error free.

5 Transfer of Licence:

5.1 You may not sublicense, assign, or transfer the licence or any part thereof to any other person.

6 Termination of Licence:

6.1 This licence may be terminated by either party without prior notice. Ceasing to be a fully paid up member of the MMPO will automatically terminate your licence.
